Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User” or “you”) and Drill Vault (“Drill Vault,” “we,” “us,” or “our”) governing your access to and use of the Drill Vault platform, including any associated mobile or desktop applications, features, and services (collectively, the “Platform”).

By creating an account, accessing, or using Drill Vault, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not create an account or use the Platform.

1. Eligibility & Account Creation

1.1 Eligibility

To create an account and use Drill Vault, you must:

• Be at least 13 years of age (or 16 in certain jurisdictions, such as the EEA)
• Have the legal capacity to enter into a binding agreement
• Not have been previously suspended or removed from Drill Vault
• Not be prohibited from using the Platform under applicable law

If you are registering on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

1.2 Account Registration

When creating an account, you agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate
• Not create an account using false identity or misrepresentation

1.3 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials. You agree to:

• Keep your password secure and not share it with any third party
• Notify us immediately at support@pnke.net if you suspect unauthorised access to your account
• Accept responsibility for all activities that occur under your account

Drill Vault will not be liable for any loss or damage arising from your failure to maintain the security of your account.

2. Acceptable Use

2.1 Permitted Use

Drill Vault grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal or professional purposes in accordance with these Terms.

2.2 Prohibited Conduct

You agree not to use the Platform to:

• Violate any applicable local, state, national, or international law or regulation
• Harass, threaten, bully, defame, or intimidate other users or Drill Vault personnel
• Upload, transmit, or distribute any content that is unlawful, harmful, obscene, or offensive
• Attempt to gain unauthorised access to any part of the Platform, its servers, or connected systems
• Introduce or distribute malware, viruses, spyware, ransomware, or any other malicious code
• Scrape, crawl, or systematically extract data from the Platform without our written consent
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity
• Use the Platform to send unsolicited communications (spam) to other users
• Attempt to reverse-engineer, decompile, or disassemble any portion of the Platform
• Circumvent, disable, or interfere with security-related features of the Platform
• Use the Platform for any commercial purpose not expressly authorised by Drill Vault in writing

2.3 Content Standards

Any content you submit, post, or share on the Platform must not:

• Infringe the intellectual property rights of any third party
• Contain personal information of others without their explicit consent
• Promote violence, discrimination, or hatred based on protected characteristics
• Constitute or encourage illegal activity

3. User Content

3.1 Ownership

You retain ownership of any original content you create and upload to Drill Vault (“User Content”). By uploading User Content, you grant Drill Vault a worldwide, non-exclusive, royalty-free licence to host, store, display, and use your User Content solely for the purpose of operating and improving the Platform.

3.2 Responsibility

You are solely responsible for your User Content and the consequences of posting it. Drill Vault does not endorse User Content and expressly disclaims any liability in connection with it.

3.3 Removal

Drill Vault reserves the right to remove or disable access to any User Content that violates these Terms or applicable law, without notice and at our sole discretion.

4. Intellectual Property

All rights, title, and interest in and to the Drill Vault Platform — including but not limited to its design, layout, logo, graphics, software, code, trade marks, and proprietary content — are owned by or licensed to Drill Vault and are protected by applicable intellectual property laws.

Nothing in these Terms grants you any right to use Drill Vault’s trade marks, logos, or branding without our prior written consent. You may not reproduce, distribute, modify, create derivative works from, or exploit any part of the Platform without express written authorisation.

5. Account Suspension & Termination

5.1 Termination by You

You may close your account at any time by using the account deletion feature within the Platform settings (the “You” tab) or by contacting us at support@pnke.net. Upon deletion, your data will be handled in accordance with our Privacy Policy.

5.2 Termination by Drill Vault

We reserve the right to suspend, restrict, or permanently terminate your account at our sole discretion, with or without notice, if we reasonably believe that you have:

• Violated any provision of these Terms or our Privacy Policy
• Engaged in fraudulent, illegal, or harmful behaviour
• Provided false information during registration
• Acted in a way that poses a risk to other users, Drill Vault, or third parties

5.3 Effect of Termination

Upon termination, your right to access and use the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, and limitations of liability) shall survive.

6. Disclaimers

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Drill Vault does not warrant that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. Your use of the Platform is at your sole risk.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Drill Vault and its directors, employees, agents, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to your use of the Platform, even if advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising under or related to these Terms shall not exceed the greater of (a) the total amount you paid to Drill Vault in the twelve (12) months preceding the claim, or (b) one hundred Australian dollars (AUD $100).

8. Third-Party Links & Services

The Platform may contain links to third-party websites or services. Drill Vault does not control and is not responsible for the content, privacy practices, or terms of any third-party sites. Your interactions with third-party services are governed by their respective terms and policies.

9. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of Australia, without regard to conflict of law principles. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Australia.

10. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by updating the Effective Date at the top of this document and, where appropriate, by sending you an email or displaying a notice on the Platform.

Your continued use of the Platform after the updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Platform and may close your account.
